1.The Agreement :-

PLEASE ENSURE THAT YOU READ AND UNDERSTAND THIS SERVICE LEVEL AGREEMENT BEFORE YOU USE

SKT PLATFORMS . If you continue to browse and use our skt platforms , you are agreeing to comply with and be bound by the following Service Level Agreement .

2.Definitions :-

A) Driver» refers to individuals/cab owner providing cab rental services through the skt platforms.

B) User» refers to any person or entity using the skt platforms ( Age 18+ ).

C) Services» refers to cab rental/cab booking services provided by the skt platforms.

3.The parties hereto agree as follows :-

• skt purely a SAAS based platform providing cabs rental lead generation to skt drivers. skt receives requests from the users of skt platforms. skt transfers these requests to the skt driver. The driver seek, receive and fulfil the requests provided to them from skt platforms .

• Driver agrees to maintain service standards and provide good quality service to the skt user .

• The Driver acknowledges and agrees that skt is only a SAAS based platform to provide cab rental services through its Drivers who are independent third party contractors not employed by skt and that skt does not provide any cab rental service directly or function as a cab rental services carrier or operate as an agent for the cab rental services of passengers.

4.skt Drivers Relationship with skt Users :-

• Driver acknowledges and agrees that Driver’s provision of cab rental services services to Users

creates a legal and direct business relationship between Driver and the User, to which skt is not a party, skt is not responsible or liable for the actions or inactions of User in relation to the activities of Driver or of any Vehicle/asset.

• Driver shall have the sole responsibility for any obligations or liabilities of Users or third parties that arise from its provision of cab rental services on skt platform.

• Driver acknowledges and agrees that they are solely responsible for taking such precautions as may be reasonable and proper (including maintaining adequate insurance and necessary papers that fulfills the requirements of all applicable laws)regarding any acts or omissions of a user or third party. Driver shall be solely responsible for not having the necessary papers and details of the vehicle and any outcome including fine, penalty, damages, etc. Arising from such action. Driver shall bear all the costs for not complying any law applicable at that time.

• Driver acknowledges and agrees that, unless specifically consented to by a User, Driver may not transport or allow inside vehicle ,any individuals other than a User .

• Driver acknowledges and agrees, and shall ensure that all Users should be transported directly to their specified destination, as directed by the applicable User, without unauthorized interruption or unauthorized stops.• Driver is free to take any action against the User in case any dispute but not limited to misbehave, destroying or damaging the vehicle or non-payment of the agreed amount, etc.

Arises between them. Skt shall not be responsible in any manner whatsoever for any dispute arising between the Driver and the User and skt shall be indemnified by the parties. Skt at its sole discretion shall assist the Driver in all reasonable manner at every level.

5. Driver’s Relationship with skt :-

• Driver acknowledges and agrees that skt provision to Driver of the skt and the skt services creates a legal and direct business relationship between skt and Drivers.

• Driver shall be an independent contractor of skt and this agreement shall not be deemed and understood to create any relationship of agency, partnership or joint venture between skt and Driver.

• The Driver shall not represent the same to any third party for any reason whatsoever.

• Skt is not and shall not be deemed to be in direct control of the Driver generally or in their performance under this agreement specifically.

• Skt has no concern to any of the operations of the Driver’s business, the cab rental services services, the acts or omissions of the Driver of the operation and maintenance of any Vehicle.

• Drivers retain the sole right to determine when and for how long they will utilize the services of skt. Drivers have the option to enter in to the contract with skt or to leave it however once they choose to leave the agreement they surrender all their rights to use the name of skt in any way or to use any such information or logo or the name plate to indicate that they are still connected with skt.

• The Drivers entering into this contract with skt retains the complete right to provide cab rental services to its existing customer/ Users, the conditions of this contract shall be valid only if the Driver uses the leads provided by skt platforms .

• skt retains the right to, at any time in sole discretion, to deactivate or otherwise restrict driver from accessing or using the services of skt in the event of a violation of this agreement, or by any act of the Driver or omission that causes harm to skt brand, reputation or business as determined by skt in its sole discretion.

• Skt also retains the right to deactivate or otherwise restrict Driver from accessing or using the services of the skt platforms for any other reason at the sole and reasonable discretion of skt along with recovery of damages from the Driver.

6. Reviews , Rating , feedback and testimonial videos :- Driver acknowledges and agrees that:-

• After receiving cab rental services, The skt driver agrees that User will be prompted by skt

platforms to provide a rating of such services and , this is optionally to provide comments or

feedback about that cab service.

• After providing services, the driver may be prompted by skt skt platforms ,optionally, to

provide rating, testimonial video ,comments or feedback about the skt platform . skt shall

instruct all drivers and their user to provide ratings and feedback in good faith

• Driver agrees that skt shall used these reviews , ratings , feedback and testimonials to promote the skt platform , and the driver does not have any problem with that .

7.Vehicle Requirements :-

Drivers acknowledges and agrees that each Vehicle shall at all times be• Properly registered and licensed to operate as a passenger cab rental services vehicle in the territory.

• Owned or leased by Driver, or otherwise in Driver’s lawful possession.

• Suitable for performing the passenger cab rental services contemplated by this agreement.

• Maintained in good operating condition, consistent with industry safety and maintenance standards for a Vehicle of its kinds and any additional standards or requirements in the applicable territory, and in a clean and sanitary condition.

• The Driver is solely responsible for any costs for mechanical failure due to usage of Vehicle for providing services onskt platforms . The Driver shall be responsible in case of such mechanical failure during normal usage and skt shall have no onus for the same.

8.Documentation :

• To ensure Driver compliance with all requirements in sections as above, Drivers must provide skt with a softcopies of all such licenses, permits, approvals, authority, registrations and certifications prior to driver provision of any services. For this skt had a provision of submittion of documents when driver registered their service to skt centre physically in hard copy.

• Thereafter, Drivers must submit to skt a hardcopy of evidence of all such licenses, permits, approvals, authority, registrations and certifications as they are renewed. ,skt shall, upon request, be entitled to review such licenses, permits, approvals, authority, registrations and certifications from time to time, and Drivers on failure to provide or maintain any of the foregoing shall constitute a material breach of this agreement.

• skt reserves the right to independently verify driver any of their Driver documentation from time to time and in any way skt founds it inappropriate in this situation skt have a right to suspend the driver till the document not completed or dismiss the account if driver willfully not completed the documents.

9. Payment policy and Fare Adjustment :- By agreeing to this agreement, Driver agrees to our pricing policy and payment policy as given below

• skt reserves the right to change its subscription price and policy from time to time. In particular, skt may at its sole discretion introduce new services and modify some or all of the existing services offered on skt platform. In such an event skt reserves the right to introduce fees for the new services offered or amend/introduce fees for existing services, as the case may be. All payments for the same shall be compulsorily in Indian Rupees acceptable in the Republic of India.

• Driver reserves the right to accept or decline the cab booking request from the skt user and if driver accept the request , he/she ( driver) is responsible for getting full payment of the used service by user as according to their payment plan which driver enters while registering their cab in skt driver platforms .

• If any dispute occurs between driver and user , we allow driver to resolve first themselve with the user but if negotiation fails than skt management decision is final and is acceptable to driver.

10. skt reserves the right :-

(i) To fine the driver and give appropriate compensation to the skt user in certain cases of giving inappropriate cab rental services which causes loss to the User or to the skt for instance Drivers taking long routes, the Vehicle is not as per the standards, Driver not following proper instructions provided to him, inordinate delay in providing the services, willfully cancelled booking in the end time without providing any substitution, broke down of service inbetween the journey and driver willfully fails to arrange substitution ( but not limited to this only ) .

(ii) To fine the driver and suspend the driver if they mention false rate of services on skt

platform .

(iii) To reduce or cancel the period of subscription validity of a Driver as a penalty in case of

service failure or not providing service as per mark standards of skt and fails to provide

appropriate reason for this service breach.

Note :- Above mention fine will be charged on driver after proper investigation by the skt

management .

• skt reserves the right to take proper and suitable action as per the laws applicable wherein the grave offences like sexual harassment is either reported or found. skt does not entertain any demand of compensation or else unless demand for compensation is raised from the competant investigating agency or by victim ( user ) and the driver agrees that this compensation amount is binding on it and solely paid by it ( not liable to skt ) however skt shall always endeavor to provide healthy and conducive environment.

11. Subscription plan :-

• skt reserves the right to offer subscription plan to Driver at any price. All fees for membership are payable inadvance of the provision of the service and are non-refundable,but changable from one plan to other inbetween the pre existing plan i.e upgradation is possible by paying upgraded amount.

• Payment of the subscription plan will be made via secure payment gateway of skt platforms .

• skt DOES NOT GUARANTEE any minimum number of bookings, increase in leads or any sales as a result of your purchase of membership. It is just a fee or charge levy on the driver in advance so that the listed service of driver is visible to user on user platform of skt.

• skt reserves the right to add, remove, update or modify features of memberships or define various types of memberships without notification to the drivers but the change is applicable to drivers only when pre existing plan over, if driver buys any .

• You will receive the membership for the period of time identified at the time of purchase. Skt reserves the right to terminate the membership at any time and refund you for fees for the remaining period of membership ( not in case of penalties / fine charged on driver due to inappropriate service or breach of contract.)

12.Taxe related matter :-

• Acknowledges and agrees that Driver are solely responsible for taxes on their own income arising from the performance of travel services. If found any complaint from the competent authority , skt reserve right to audit that particular driver .

• If driver found guilty regarding evading of tax , skt does not have any liabilty regarding this matter . Any fine , penalty or any kind of amout raises from this tax evasion is solely paid by driver.

• skt reserves the right to suspend or dismissed driver found guilty in these type of matter without refunding their subscription amount.• If any kind of loss occur due to these type of cases to the skt , skt reserve the right to demand compensation amount from the driver .

13.Intellectual Property :-

• The skt services, skt logo, skt skt platforms , and skt data, including all other intellectual property rights therein, shall remain the property of skt . Neither this agreement nor Drivers’ use of the skt services, its skt platforms or skt Data, conveys or grants to Driver any rights: (a) in or related to the skt services, its skt platforms or skt Data, except for the limited license granted as above;

or (b) to use or reference in any manner skt company names, logos, product and service names, trademarks, service marks or other indicia of ownership.

• Driver acknowledges skt rights in its skt family of trademarks and names, including skt , alone and incombination with other letters, punctuation, words, symbols and/or designs. Driver agrees it will not, and it will ensure that its Drivers do not, try to register or otherwise claim ownership in any of the skt marks and names, alone or in combination with other letters, punctuation, words, symbols and/or designs, or in any confusingly similar mark or name.

14. Driver and/or Driver shall not

(i)reproduce, modify or prepare derivative works of applications of skt.

(ii)decompile, reverse engineer or dissemble the services of skt; except as may be expressly permitted by skt.

15.Indemnity :-

• Driver agrees to indemnify and hold skt and its officers, directors, employees harmless from any and all claims, demands, losses, liabilities, and expenses (including attorney fees) arising out of or in connection with:

• Dispute raise between driver and skt user regarding any of driver cab service provided to user through skt platform

• Your breach or violation of any of these Terms;

• Violation of privacy of user .

• Violation of the rights of any third party, including Third Party Providers.

16. Jurisdiction :-

• The terms shall be construed in accordance with Indian law and the parties hereby submit to the exclusive jurisdiction of the courts of delhi India to settle any disputes which may arise in connection with the terms of this agreement.

• Any dispute, claim or controversy arising out of or relating to these Service Level Agreement or the breach, termination, enforcement, interpretation or validity thereof or the use of the Site, the Service (collectively) the parties shall attempt to settle the same amicably,through negotiation and consultation at such offices of skt as skt may designate.

• In the event the dispute is not resolved internally between after at least 30 (thirty) days of negotiation, in good faith, the same shall be subject to binding and final arbitration in accordance with the Arbitration and Conciliation Act, 1996 as amended from time to time or in case the Arbitration and Conciliation Act, 1996 is no longer in force, as per any law relating to arbitration in force at the time of such reference.

• Each party to the dispute shall appoint arbitrator each and the two Arbitrators shall appoint the third or the presiding Arbitrator. The venue and seat of the arbitration shall be meerut uttar Pradesh, India. Subject to the above, any Dispute will be subject to the exclusive jurisdiction of courts in meerut , uttarpradesh, India.
